These Terms of Service ("Terms") govern your access to and use of AltBrain's services, including our website, applications, Model Context Protocol ("MCP") server, APIs, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.

1. Service Description

AltBrain is a universal memory infrastructure for AI platforms. The Service allows you to:

  • Import and store knowledge artifacts (conversation exports, documents, notes) in your personal Vault (your secure, private storage space within AltBrain)
  • Search and retrieve your stored content using semantic search
  • Connect AI assistants (such as Claude, ChatGPT, Cursor, Windsurf, Copilot) to your stored memory via MCP
  • Manage what information is saved and how it is accessed

AltBrain acts as a memory layer between you and AI assistants, enabling persistent context across platforms and sessions.

2. Eligibility

A. Age Requirement

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18.

B. Legal Capacity

You must have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

C. Compliance

You must comply with all applicable laws and regulations when using the Service.

3. Your Account

A. Account Creation

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your login credentials secure and confidential
  • Notify us immediately of any unauthorized access to your account

B. Account Responsibility

You are responsible for all activity that occurs under your account. We are not liable for any loss or damage arising from unauthorized use of your account.

C. Account Termination by You

You may delete your account at any time through your account settings or by contacting support@altbrain.io. Upon deletion, we will remove your data as described in our Privacy Policy.

4. Your Data

A. Ownership

You retain full ownership of your data. Content you upload, save, or create using the Service remains yours. AltBrain does not claim ownership of your content.

B. License to AltBrain

By using the Service, you grant AltBrain a limited, non-exclusive, worldwide license to:

  • Store, process, and display your content as necessary to provide the Service
  • Generate embeddings and indexes to enable search and retrieval features
  • Transmit your content to connected AI assistants based on your permissions and settings

This license exists solely to operate the Service and terminates when you delete your content or account.

C. No Training on Your Data

AltBrain does not use your content to train machine learning models. Your data is used only to provide the Service to you.

D. Your Content Responsibilities

You represent and warrant that:

  • You have all necessary rights, licenses, and permissions to upload content to the Service
  • Your content does not infringe the intellectual property or privacy rights of any third party
  • If your content includes information about other people (such as conversation exports), you have appropriate rights or permissions to store that information
  • You will not upload sensitive personal information about others without proper authorization

You are solely responsible for your content and the consequences of uploading it.

E. Data Portability

You may export your data at any time through your Vault dashboard. We support data portability and will provide your data in a commonly used format upon request.

F. Data Deletion

You may delete your data at any time. Deleted data is removed from active storage. Deleted data may persist in encrypted backups for a limited period (for example, up to 30 days) before being overwritten.

G. Data Processing, Security, and Transfers

We use reasonable administrative, technical, and organizational safeguards to protect your data, including encryption in transit and at rest. No system is 100% secure, and we cannot guarantee absolute security.

We use third-party service providers (subprocessors) to help operate the Service. A current list is available at altbrain.io/subprocessors. Your data may be processed in the United States, European Union, and other jurisdictions where subprocessors operate. Where required by law, we use appropriate transfer mechanisms (such as Standard Contractual Clauses) to support international data transfers.

5. Connected AI Assistants and MCP Access

A. How MCP Works

When you connect an AI assistant to AltBrain via MCP, you authorize that assistant to:

  • Search your stored memories based on queries you make
  • Retrieve recent context from your memory
  • Save new information to your memory (subject to your save mode settings)
  • List and retrieve specific memory items

B. Your Control

You control what AI assistants can do with your data through:

  • Memory control: You explicitly save conversations and documents to AltBrain when you choose
  • Connection management: Connect or disconnect AI assistants at any time
  • Content management: View, edit, and delete any stored content through your Vault

C. Third-Party AI Services

AI assistants you connect (Claude, ChatGPT, Cursor, Windsurf, Copilot, etc.) are third-party services with their own terms and privacy policies. AltBrain does not control how those services process information.

When you use a connected AI assistant:

  • Information returned by AltBrain may be displayed, stored, or processed by that assistant under its own policies
  • The assistant may use that information for its own purposes, including model training, unless you have opted out under their terms
  • AltBrain's "no training" commitment applies only to AltBrain

Review each assistant's privacy policy and terms before connecting it to AltBrain.

D. Limitations

Connected AI assistants cannot:

  • Access content you have deleted (except where it may temporarily persist in backups)
  • Access other users' data
  • Access your authentication credentials
  • Directly access AltBrain's systems/databases/raw storage — they can only access data through authorized MCP tools

6. Acceptable Use

A. Permitted Use

You may use the Service for lawful purposes consistent with these Terms.

B. Prohibited Use

You agree not to:

  • Use the Service for any unlawful purpose or to violate any laws
  • Upload content that infringes intellectual property rights of others
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or other users' data
  • Interfere with or disrupt the Service or its infrastructure
  • Use the Service to harass, abuse, or harm others
  • Circumvent access controls or security measures
  • Use automated tools to access the Service except as permitted by our published interfaces
  • Resell, sublicense, or redistribute access to the Service without authorization

C. Restrictions on Competitive Use

You agree not to:

  • Reverse engineer, decompile, or disassemble the Service (except where prohibited by applicable law)
  • Systematically benchmark features for the purpose of replicating them in a competing product
  • Extract or scrape data from the Service to build a competing memory/knowledge/AI context service
  • Resell or white-label the Service without a separate written agreement

These restrictions do not prevent you from building products that integrate with AltBrain through authorized APIs, or from using general knowledge gained from being a user.

D. Enforcement

We may suspend or terminate access if you violate these Terms or engage in conduct we reasonably determine is harmful to the Service, other users, or third parties.

7. Intellectual Property

A. AltBrain's Rights

The Service (excluding your content) is owned by AltBrain and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our written permission.

B. Feedback

If you provide feedback, suggestions, or ideas, you grant AltBrain a perpetual, irrevocable, worldwide license to use that feedback without compensation or attribution.

C. Open Source

Some components may incorporate open source software subject to their respective licenses.

8. Fees and Payment

A. Current Pricing

The Service is currently offered free of charge during the beta period.

B. Future Paid Features

We may introduce paid features in the future. If we do, we will disclose pricing and billing terms in advance, including (as applicable) billing cadence, taxes, cancellation, refunds, and price-change notice.

9. Disclaimers

A. "As Is" Service

The service is provided "as is" and "as available" without warranties of any kind. We disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment.

B. No Guarantee

We do not guarantee that the Service will be uninterrupted, error-free, secure, or meet your requirements.

C. Verify Important Information

AltBrain is a memory and retrieval tool, not a source of verified truth. Independently verify important information before relying on it for significant decisions.

D. Beta Features

Beta/preview/experimental features may change or be discontinued at any time and are provided without warranty.

10. Limitation of Liability

A. Liability Cap

To the maximum extent permitted by law, altbrain's total liability for all claims arising out of or relating to the service or these terms will not exceed the greater of:

  1. US $100, or
  2. The amounts you paid to AltBrain for the Service in the 12 months before the event giving rise to the claim.

B. Excluded Damages

To the maximum extent permitted by law, in no event will altbrain be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, even if advised of the possibility of such damages.

C. Basis of the Bargain

You agree that these limitations are a fundamental basis of the bargain between you and altbrain.

Some jurisdictions do not allow certain limitations; in those jurisdictions, liability will be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless AltBrain and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • your content,
  • your use of the Service,
  • your violation of these Terms, or
  • your violation of any rights of another.

12. Suspension and Termination

A. Termination by You

You may stop using the Service and delete your account at any time.

B. Suspension/Termination by AltBrain

We may suspend or terminate access to the Service if you violate these Terms, if required by law, or to protect the Service, users, or third parties.

C. Effect of Termination

Upon termination, your right to use the Service ends. Data handling after termination is described in the Privacy Policy, including deletion and backup retention practices.

Sections that by their nature should survive termination will survive (including, for example, intellectual property, disclaimers, limitation of liability, indemnification, and governing law).

13. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, excluding its conflict of laws principles.

You and AltBrain agree to the exclusive jurisdiction and venue of courts located in New Castle County, Delaware for all disputes not subject to an agreed dispute-resolution process.

14. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms and revise the "Last updated" date above. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

15. Miscellaneous

  • Entire Agreement: These Terms (and any policies referenced, including the Privacy Policy) constitute the entire agreement between you and AltBrain regarding the Service.
  • Severability: If any provision is unenforceable, the remaining provisions remain in effect.
  • No Waiver: Failure to enforce a provision is not a waiver.
  • Assignment: You may not assign these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: We are not liable for delays or failures due to causes beyond our reasonable control.
  • Notices: Notices to AltBrain should be sent to legal@altbrain.io.
